Fintech

Our FinTech practice advises clients at the intersection of technology, financial regulation, and data governance, providing forward-looking, practical counsel to help clients build, scale, and operate compliant fintech businesses. We work closely with product, compliance, and leadership teams to embed legal and regulatory requirements into core business operations, and our expertise spans payments platforms, cross-border solutions, and fintech integrations within media and e-commerce ecosystems.

We have advised on structuring payment instruments, digital wallets, and programmatic payment arrangements, as well as on licensing and compliance for Payment Aggregators under RBI regulations. Our work here includes drafting, negotiating, and operationalising contracts that align commercial objectives with regulatory requirements, covering merchant tie-ups, refund cycles, KYC, and PCI-DSS compliance.

Our experience also extends to integrating privacy and data protection into fintech operations, ensuring KYC policies, cross-border data transfers, anonymisation standards, and data localisation requirements comply with the RBI Master Directions and the Digital Personal Data Protection Act, 2023. We have supported gaming and fintech convergence as well, advising on monetisation strategies, taxation of winnings, FEMA compliance, and the drafting of platform terms and internal risk-control guidelines.

We have guided multiple fintech start-ups and established players through investor due diligence, fundraising compliance, FDI structuring, vendor onboarding, and dispute resolution in payment-related services. This has included helping clients navigate regulatory queries, voluntary disclosures, and the ongoing monitoring of evolving laws, including the Payment and Settlement Systems Act, 2007, and applicable data privacy frameworks.

We also provide hands-on support in implementing legal and compliance frameworks in practice, working with operations and technology teams to develop standard operating procedures, internal controls, risk management mechanisms, and reporting structures. This ensures that regulatory obligations are operationalised effectively across the organisation, allowing clients to focus on growth while maintaining robust compliance standards.
